Dutch meal delivery giant Just Eat Takeaway lost two senior officials on Wednesday, just hours ahead of the listed company’s AGM.

The first to go is chief operating officer Jörg Gerbig who is facing a formal complaint about his behaviour.

Gerbig, 49, is the founder of German meal delivery company Lieferando.de, taken over by Thuisbezorgd in 2014.

‘The supervisory board has recently been informed of a formal complaint regarding Jörg Gerbig relating to possible personal misconduct at a company event,’ the company said, without giving further details.

An outside expert has now been brought in to conduct an investigation and Gerbig may be put for re-election if the allegations are determined to be unfounded, the company said.

The company also said supervisory board chairman Adriaan Nühn was stepping down, following concern about the challenges the company is facing.

‘To ensure that the supervisory board can fully focus on the challenges and opportunities ahead, I believe it is important that there is strong support, particularly also among shareholders, for both the company and the supervisory board,’ Nühn said in a website statement. 

‘Not seeking re-election is, I believe, the best decision I can take with regard to serving the interests of the company and its stakeholders, including its shareholders.’

Grubhub

The company has been facing strong criticism from shareholders since the takeover of US online food platform Grubhub, which founder Jitske Groen has now admitted may be sold on.

Last week hedge fund Cat Rock called for a clean-up at board level, arguing that the company’s value has plummeted by 75% in two years.

On Wednesday, Takeaway’s shares fell 1.4% to €25.93 in by early afternoon.
